Legal
Client Waiver
Effective date: September 28, 2026
Please read this document carefully. It affects your legal rights. By accepting it, you are giving up certain rights, including the right to sue Rebuilt Athletics for injuries or losses arising from your participation in coaching services.
1. Parties and Purpose
This Client Waiver, Release of Liability, and Assumption of Risk (this "Waiver") is entered into between you, the undersigned client ("you" or "Client"), and IronVale Labs, Inc., doing business as Rebuilt Athletics, together with its officers, directors, shareholders, employees, coaches, contractors, agents, successors, and assigns (collectively, "Rebuilt Athletics," "we," "us," or "our"). This Waiver is a condition of receiving any coaching, training, programming, nutrition guidance, or related services from Rebuilt Athletics (the "Services") and forms part of the coach–client agreement between you and Rebuilt Athletics.
2. Voluntary Participation
You acknowledge that your participation in the Services is entirely voluntary. You are free to decline any exercise, program, recommendation, or activity, and you are free to stop participating at any time.
3. Not Medical Advice; Physician Consultation Required
You understand and agree that Rebuilt Athletics is not a physician, physical therapist, licensed dietitian, or other licensed healthcare provider, and that the Services are not medical care, diagnosis, treatment, physical therapy, rehabilitation, or medical nutrition therapy. Nothing provided through the Services should be construed as medical advice.
You represent that, before beginning any training or nutrition program provided through the Services, you have consulted with, or have had a reasonable opportunity to consult with, a licensed physician regarding your fitness to participate, and that you have been cleared to participate or have elected to proceed at your own risk. You agree to obtain such clearance before proceeding if Rebuilt Athletics requests it, and to consult a physician promptly if you experience any symptom that concerns you during or after participation.
4. Assumption of Risk
You understand that physical exercise, strength training, conditioning, and changes to nutrition involve inherent risks that cannot be eliminated regardless of the care taken to avoid them. These risks include, without limitation, muscle strains and tears, sprains, fractures, joint injuries, cardiovascular events, heat-related illness, dizziness, fainting, allergic reactions, aggravation of pre-existing conditions, and, in rare cases, permanent disability or death.
You further understand that the Services are delivered primarily online, that you will ordinarily be training without a coach physically present, and that you alone are responsible for selecting a safe training environment, using equipment properly, warming up, training within your abilities, and stopping immediately if you experience pain, chest discomfort, shortness of breath, dizziness, or any other warning sign.
With full knowledge of these risks, you knowingly and voluntarily assume all risks, known and unknown, foreseeable and unforeseeable, arising from or connected with your participation in the Services, whether caused by the negligence of Rebuilt Athletics or otherwise, to the fullest extent permitted by law.
5. Duty to Disclose Medical Conditions, Allergies, and Limitations
You acknowledge that Rebuilt Athletics relies on the accuracy and completeness of the information you provide in designing and delivering the Services. Accordingly, you represent and warrant that, before entering into the coach–client relationship, you have fully and truthfully disclosed to Rebuilt Athletics, through the initial assessment and otherwise, all medical conditions, injuries, surgeries, medications, physical limitations, pregnancy, food allergies, food intolerances, dietary restrictions, and any other circumstance that could reasonably affect your ability to participate safely.
This is a continuing obligation. You agree to notify Rebuilt Athletics promptly, in writing, of any change in your health, any new injury or diagnosis, any change in medication, and any new allergy or restriction arising during the coach–client relationship. You agree that Rebuilt Athletics shall have no liability whatsoever for any injury, illness, reaction, or loss that results in whole or in part from information you failed to disclose, disclosed inaccurately, or failed to update.
6. Nutrition Guidance
You understand that any nutrition information provided through the Services is general educational and coaching guidance intended to support your fitness goals. It is not individualized medical nutrition therapy, is not intended to diagnose, treat, cure, or prevent any disease, and is not a substitute for advice from a physician or registered dietitian. You are solely responsible for reading ingredient labels, avoiding foods to which you are allergic or intolerant, and consulting a qualified professional regarding any dietary change, particularly if you have a medical condition or take medication.
7. Release, Waiver, and Covenant Not to Sue
In consideration of being permitted to participate in the Services, you, on behalf of yourself and your heirs, executors, administrators, personal representatives, and assigns, hereby release, waive, discharge, and covenant not to sue Rebuilt Athletics from and for any and all claims, demands, causes of action, damages, losses, costs, and expenses of any kind, including attorneys' fees, arising out of or in any way related to your participation in the Services, including claims arising from the ordinary negligence of Rebuilt Athletics, to the fullest extent permitted by the laws of the State of Florida. This release does not extend to claims arising from gross negligence, willful misconduct, or any liability that cannot lawfully be waived.
8. Indemnification
You agree to indemnify, defend, and hold harmless Rebuilt Athletics from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to (a) your participation in the Services, (b) your breach of this Waiver, or (c) any inaccurate, incomplete, or outdated information you provide to Rebuilt Athletics.
9. Emergency Medical Treatment
In the event of an injury or medical emergency during an in-person session, if and when such sessions are offered, you authorize Rebuilt Athletics to summon emergency medical assistance on your behalf. You agree that you are responsible for all costs associated with such assistance and any resulting treatment.
10. Governing Law; Severability
This Waiver shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. Venue for any dispute arising under this Waiver shall lie exclusively in the state or federal courts located in Bay County, Florida. If any provision of this Waiver is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.
11. Electronic Acceptance
You agree that your acceptance of this Waiver through the Rebuilt Athletics coaching portal, including checking the acceptance box, constitutes your electronic signature and has the same legal effect as a handwritten signature. Rebuilt Athletics records the version accepted, the date and time of acceptance, and the network address from which acceptance was made.
12. Acknowledgment
By accepting this Waiver, you affirm that you are at least eighteen (18) years of age, that you have read and understood this entire document, that you have had the opportunity to ask questions and to seek independent legal advice, that you have disclosed all relevant medical conditions, allergies, and limitations, and that you are signing freely and voluntarily without any inducement.
